TERMS AND CONDITIONS OF THE “VIINDER MACROFIT” PARTNER PROGRAM<\/h3>

This document sets forth the terms and conditions (hereinafter, the “Agreement”) governing the Partner\/Affiliate Program (hereinafter, the “Program”) of the Viinder MacroFit mobile application (hereinafter, “Viinder”, “we”, or “the Company”).<\/p>

By clicking “Accept” on the affiliate portal, you (hereinafter, the “Partner”, “Affiliate”, or “Influencer”) confirm that you have read, understood, and agreed to be legally bound by this Agreement in its entirety. This digital acceptance is equivalent to and has the same legal validity as a handwritten signature.<\/p>

1. PURPOSE OF THE AGREEMENT<\/h3>

The purpose of this Agreement is to establish an independent commercial relationship in which the Partner will promote the Viinder MacroFit application through the use of a unique promotional code or referral link, in exchange for financial commission calculated on the subscriptions generated through such means.<\/p>

2. COMMISSIONS AND TIER STRUCTURE (GAMIFICATION)<\/h3>

Viinder MacroFit utilizes a tiered commission system designed to reward Partner performance. Commissions are calculated based on the\u00a0net profit<\/strong>\u00a0received by the Company after deducting app store commissions and fees (Apple App Store \/ Google Play Store) and any applicable taxes.<\/p>

The commission system is divided into the following tiers:<\/p>

  • \ud83e\udd49 Bronze Tier:<\/strong>\u00a0Base commission of\u00a030%<\/strong>\u00a0of net profit. (1 to 100 active paid subscriptions).<\/li>
  • \ud83e\udd48 Silver Tier:<\/strong>\u00a0Commission of\u00a040%<\/strong>\u00a0of net profit. (101 to 200 active paid subscriptions).<\/li>
  • \ud83e\udd47 Gold Tier:<\/strong>\u00a0Commission of\u00a050%<\/strong>\u00a0of net profit. (201 or more active paid subscriptions).<\/li><\/ul>

    2.1. Recurring Commissions:<\/strong>\u00a0Commissions apply to both the first purchase of the subscription (initial purchase) and its automatic renewals,\u00a0for a maximum period of up to 365 days<\/strong>\u00a0per referred user. After exactly one year from the user’s registration date using the Partner’s code, commissions for that user’s renewals will cease.<\/p>

    3. PAYMENT CONDITIONS AND WITHDRAWALS<\/h3>
    • Minimum Threshold:<\/strong>\u00a0The Partner may request a withdrawal of their earnings only when their total available balance reaches or exceeds the sum of\u00a0$100,000 COP<\/strong>\u00a0(One hundred thousand Colombian pesos) for Colombia, or its equivalent of\u00a0$25 USD<\/strong>\u00a0(US Dollars) for the rest of the world.<\/li>
    • Payment Methods:<\/strong>\u00a0The Program has a\u00a0global<\/strong>\u00a0reach and is adapted to multiple territories. The dashboard supports payments through the following channels:
      • Residents in Colombia:<\/strong>\u00a0Nequi, Daviplata, and major local banks (Bancolombia, etc.).<\/li>
      • Rest of the World (Global):<\/strong>\u00a0PayPal, Binance Pay, Payoneer, or International Bank Transfer (SWIFT \/ ACH), subject to availability by region at the time of processing the payment.\u00a0Any costs or fees charged by international intermediary platforms or banks will be borne by the Affiliate.<\/em><\/li><\/ul><\/li>
      • Processing Times:<\/strong>\u00a0Once a withdrawal is requested in the Dashboard, Viinder will audit and approve the withdrawal within a period of up to 5-10 business days to prevent transactional fraud from the App Stores.<\/li>
      • Chargebacks and Refunds:<\/strong>\u00a0If a referred user requests a refund or the payment is reversed by the app store, the previously paid commission will be deducted from the Partner’s balance. If the balance is insufficient, the amount will become a negative balance to be offset against future earnings.<\/li><\/ul>

        4. BRAND USAGE AND PROHIBITED CONDUCT<\/h3>

        The Partner acts as an ambassador for Viinder MacroFit and must act in good faith. The following conduct is strictly prohibited:<\/p>

        • Making false, misleading claims, or promising non-existent health, nutrition, or weight-loss features or cures related to the use of the app.<\/li>
        • Sending unsolicited mail (Spam) or using invasive marketing tactics to promote the affiliate code.<\/li>
        • Bidding on trademarked keywords (e.g., “Viinder”, “Viinder MacroFit”) on advertising platforms (Google Ads, Facebook Ads) without explicit written authorization from the Company.<\/li>
        • Acting as an employee, legal representative, or authorized agent of Viinder. The Partner acts solely as an independent contractor.<\/li><\/ul>

          Fraudulent use or breach of these rules will be grounds for immediate suspension, cancellation of the affiliate account, and the complete freezing of any accumulated, unwithdrawn funds.<\/strong><\/p>

          5. MODIFICATION AND TERMINATION<\/h3>
          • Modifications:<\/strong>\u00a0Viinder reserves the right to modify these terms (including commission percentages) at any time. Changes will be notified to partners, and continued use of the Program will constitute acceptance of such changes.<\/li>
          • Termination:<\/strong>\u00a0Either party may terminate this agreement at any time and for any reason, with or without prior notice. Upon voluntary termination (without fraud), the Partner will be entitled to withdraw their pending balance provided it exceeds the minimum withdrawal threshold.<\/li><\/ul>

            6. INDEPENDENCE OF THE PARTIES<\/h3>

            There is no employment relationship, joint venture, agency, or partnership between the Partner and Viinder. The Partner is solely responsible for the payment of all respective taxes, social security, and mandatory withholdings related to the income received through this Program.<\/p>
